How the returns are signed
InsiderAlerts scores whether the market moved the way the filing implied — not whether the insider booked a GAAP gain.
Universe
Non-derivative Form 4 transaction codes P (open-market or private purchase) and S (open-market or private sale). Awards, option exercises, gifts, and issuer dispositions are excluded. Filings come from the SEC’s official Form 3/4/5 extracts (2010 through 2026 Q2) plus live EDGAR for the current quarter.
Prices
Daily bars are split-adjusted closes for currently active issuers. The entry price is the last close on or before the transaction date. The 90- and 180-day marks are the first close on or after that many calendar days. Trades without a usable price series are listed with blank returns.
Sign convention
Buy return = (later price − entry) / entry. Sale return = (entry − later price) / entry. A sale followed by a lower stock price is a positive result; a sale followed by a rally is negative. That is the short-side rate of return over the horizon.
Screen and hot list
The custom screen counts earlier open-market trades by the same insider CIK whose signed 90- or 180-day return already cleared your threshold. Example: buys in the last 30 days from insiders with more than three prior 90-day wins above 5%. The hot list is a preset: any side, past 7 days, at least two scored historical trades, and an average 180-day return above 7% across all of those trades. Each trade counts equally so one large print cannot dominate.
Titles and biographies
Position titles come from the insider’s most recent Form 4 reporting-owner field. Biographies are taken from the issuer’s latest Form 10-K (Item 10, directors and executive officers) on EDGAR, and from the DEF 14A proxy statement when the annual report incorporates that section by reference. Entity filers (funds, LLCs) are left without a bio.
